Attorney – Procurement/Integrated Supply Chain will be a member of the Company’s Legal Operations group. The practice group provides day-to-day support for supply chain contracts and commercial law matters, drafts and negotiates complex domestic and cross-border transaction agreements, and handles a wide array of other commercial issues that arise from the day-to-day operations of a large, fast-paced organization. The attorney provides legal services to protect the best interests of the Company, as well as its integrity, reputation, assets, officers and employees, while ensuring that the Company operates in compliance with applicable laws.

Requirements:

  • Provides strategic advice and counsel, often in collaboration with other Legal team members, to key Procurement stakeholders by engaging with them to identify, develop, and implement strategies in their area of responsibility to manage risks to the Company’s interests and resources
  • Provides similar support to additional Integrated Supply Chain groups, such as contractual support to the operations and engineering services groups
  • Provides strategic advice and counsel, often in collaboration with other Legal team members, to key Corporate Real Estate stakeholders by engaging with them to identify, develop, and implement strategies in their area of responsibility to manage risks to the Company’s holdings, interests, and resources
  • Applies experience and expertise to Procurement and other commercial transaction matters, including day-to-day contract counseling
  • Advises stakeholders of potential risks in contractual areas and proposes practical risk mitigation strategies
  • Provides creative and legally sound solutions for resolution of disputes with commercial business partners and counterparties
  • Drafts, negotiates, and reviews commercial contracts, including product and service supply agreements, consulting agreements, confidentiality agreements and other business and legal documents
  • Manages outside counsel as necessary
  • Identifies legal training needs and requirements, particularly related to contract matters
  • Assists in the development and delivery of training as appropriate
  • Updates current contract templates and develops new templates, as necessary, for use by key stakeholders
  • Supports M&A initiatives and other commercial areas on an as-needed basis

Qualifications:

  • JD Degree from an accredited law school and top academic credential  - required
  • Must be a member in good standing of a State Bar Association or become a member within one year of hire date - required
  • 0-3 years of experience with commercial transactions, including preparation and review of commercial contracts - required
  • Prior major law firm experience or in-house experience - preferred
  • Excellent management skills and business judgment with the capacity to make decisions and give advice, which demonstrates an understanding of overall business objectives and the risks/rewards of each situation - required
  • Strong research and writing skills, and a demonstrated ability to communicate effectively with a non-legal audience - required
